The company’s main contract was with Dank plc a large industrial conglomerate.
In the course of its research activity, Clean Ltd’s scientists developed a new super glue. Des was very keen to pursue the manufacture of the glue but the board of directors overruled him and decided that the company should stick to its core business.
The managing director of Dank plc is a friend of Des’s and has told him that Dank plc will not be renewing its contract with Clean Ltd as he is not happy with its performance. He also told Des that he would be happy to continue to deal with him, if only he was not linked to Clean Ltd.
Following that discussion Des resigned from his position as managing director of Clean Ltd and set up his own company, Flush Ltd which later entered into a contract with Dank plc to replace Clean Ltd. Flush Ltd also manufactures the new glue discovered by Clean Ltd’s scientists, which has proved to be very profitable.
Required:
In the context of company law, advise the board of Clean Ltd as to whether they can take any action against Des or Flush Ltd.(10 marks)
Not everyone, however, shares this anxiety. Millions sleepwalk their way through their lives as if nothing had changed since the 1930's, and as if nothing ever will. Living in what is certainly one of the most exciting periods in human history, they attempt to withdraw from it, to block it out, as if it were possible to make it go away by ignoring it.
One sees them everywhere. Old people, resigned to live out their years, attempting to avoid, at any cost, the intrusion(扰乱,侵犯) of the new. People of thirty-five and forty five, nervous about student riots, sex, L.S.D, or miniskirts, feverishly attempting to persuade themselves that, after ail, youth was always rebellious, and that what is happening to day is no different from the past. Even among the young we find an incomprehension of change: students so ignorant of the past that they see nothing unusual about the present.
The disturbing fact is that the vast majority of people find the idea of change so threatening that they attempt to deny its existence. Even many people who understand intellectually that change is accelerating, do not take this critical social fact into account in planning their own personal lives.
What is the main idea of the passage?
A.Things are moving faster.
B.Change is out of control.
C.People react differently to changes.
D.Young students are ignorant of changes.
Task 2
Directions: This task is the same as Task 1. The 5 questions or unfinished statements are numbered 41 through 45.
Many of us have a vague feeling that things are moving faster. Doctors and executives of ten complain that they can't keep up with the latest developments in their fields. Hardly a meeting or conference takes place today without some talk about "the challenge of change". Among many there is an uneasy mood—a suspicion that change is out of control.

听力原文: The Sydney Opera House is one of the most famous buildings not only in Australia but also in the world.
The Opera House was built by the New South Wales Government, which organized an international competition for a design for the complex. It was won in 1957 by the Danish architect, Jorn Utzon.
The complex stands on Sydney Harbour. It took about 19 years and $102 million to plan, build, equip and furnish.
The construction proceeded in three stages: stage 1 was the building of the foundation, stage 2 was the construction of the shell roofs, and stage 3 was the building of the interiors.
After Jorn Utzon resigned from the project in February, 1966, when the exterior was almost complete, four Australian architects took over.
The Opera House covers about 1.82 hectares. It is about 183 meters long and 118 meters wide. The highest shell roof is 67 meters above sea level. The roofs are covered with more than 1056000 Swedish-made ceramic tiles in white and cream. The roof weight totals 1758000 tons, supported on about 600 concrete columns.
The Sydney Opera House has a concert hall, which seats 2690, an opera theatre, a drama theatre, a play house and a recording hall. The house also has an exhibition hall, five rehearsal studios, a reception hall, two restaurants, six theatre bars, sixty dressing rooms and so on.
The complex was officially opened by her Majesty, Queen Elizabeth Ⅱ on October 20,1973.
