The Committee of Sponsoring Organisations (COSO) of the Treadway Commission is an American voluntary, private sector organisation and is unconnected to government or any other regulatory authority. It was established in 1985 to help companies identify the causes of fraudulent reporting and to create internal control environments able to support full and accurate reporting. It is named after its fi rst chairman, James Treadway, and has issued several guidance reports over the years including important reports in 1987, 1992 and 2006.

In 2009, COSO issued new ‘Guidance on monitoring internal control systems’ to help companies tighten internal controls and thereby enjoy greater internal productivity and produce higher quality reporting. The report, written principally by a leading global professional services fi rm but adopted by all of the COSO members, noted that ‘unmonitored controls tend to deteriorate over time’ and encouraged organisations to adopt wide ranging internal controls. It went on to say that, the ‘assessment of internal controls [can] ... involve a signifi cant amount of ... internal audit testing.’

After its publication, the business journalist, Mark Rogalski, said that the latest report contained ‘yet more guidance from COSO on how to make your company less productive by burdening it even more with non-productive things to do’ referring to the internal control guidance the 2009 report contains. He said that there was no industry sector-specifi c advice and that a ‘one-size-fi ts-all’ approach to internal control was ‘ridiculous’. He further argued that there was no link between internal controls and external reporting, and that internal controls are unnecessary for effective external reporting.

Another commentator, Claire Mahmood, wrote a reply to Rogalski’s column pointing to the views expressed in the 2009 COSO report that, ‘over time effective monitoring can lead to organisational effi ciencies and reduced costs associated with public reporting on internal control because problems are identifi ed and addressed in a proactive, rather than reactive, manner.’ She said that these benefi ts were not industry sector specifi c and that Rogalski was incorrect in his dismissal of the report’s value. She also said that although primarily concerned with governance in the USA, the best practice guidance from COSO could be applied by companies anywhere in the world. She said that although the USA, where COSO is based, is concerned with the ‘rigid rules’ of compliance, the advice ought to be followed by companies in countries with principles-based approaches to corporate governance because it was best practice.

The Development of the Shoe Industry

From 1900 until 1940s, approximately 400 shoe manufacturers were operating in New England; by 1985, only 10 percent remained. Despite the market pressures, Murrayhill remained profitable and had even diversified its distribution channels by establishing direct mail cataloging in the late 1970s. Murrayhill survived by producing a premium-quality product that was difficult to duplicate and that appealed to a narrow market segment willing to pay high prices for Murrayhill quality. As fashion became a more important component of men's shoe purchasing behavior. and casual styles became more popular, the company broadened its product line to include several fashionable and light-weight styles that retained the famous Murrayhill quality. (9) In 1985, the men's premium shoe market was considered to include brands with a price range of $ 75 or higher. Murrayhill, Inc. Hohnston & Murphy, E.T. Wright & Company, Alien Edmonds, and Florsheim were the major domestic manufacturers producing premium shoes. Measuring market share within the industry was difficult because so many of the manufacturers were private companies, like Murrayhill. (10) Alien Edmonds, headquartered in Wisconsin, relied primarily on nonproprietary retail outlets for its distribution. Its advertising was sizable, with expenditures in $1 million to $2 million range. (11) .Alien Edmonds also operated a small direct mail catalog business, the majority of whose costs were handled by Edmonds's retail accounts. E.T. Wright & Company, headquartered in Massachusetts, operated an extensive direct mail business and, like Murrayhill, relied on non-proprietary distribution. (12) Florsheim's product line covered several price points, including those in the premium market. Florsheim was, by far, the strongest competitor, with an estimated market share of 18 percent and both non-proprietary retail distribution channels. Hanover, a medium priced shoe manufacturer, also was noted for its direct distribution system. (13) .Imports accounted for a 50 percent share of the total men's shoe market. Bally, the strongest competitor, was the leading imported brand in this market before 1975 and maintained a market share of close to 25 percent at that time. By 1985, other imported brands included Baker Benjes, Cole Ham, Ferragamo, Bruno Magli, and Church's. (14) .Most of the imported brands were lighter in weight and designed to appeal to more fashion-conscious consumers.

The ability ofmicro-organisms to find ways to avoid the action of the drugs used to cure theinfec-tions they cause is increasingly recognized as a global public healthissue. Some bacteria have devel-oped mechanisms which make them resistant tomany of the antibiotics(抗生素) normally used for their treatment. They are known as multi-drugresistant bacteria, posing particular difficulties, as there may be few or noalternative options for therapy. They constitute a growing and global publichealth problem. WHO suggests that countries should be prepared to implementhospital infection con- trol measures to limit the spread of multi-drug resistant strains(菌株) and to reinforce national policy on prudent use ofantibiotics, reducing the generation of antibiotic resistant bacteria.

An article published in TheLancel Infectious Diseases on 11 August 2010 identified a new gene that enablessome types of bacteria to be highly resistant to almost all antibiotics. Thearticle has drawn attention to the issue of antimicrobial resistance, and, inparticular, has raised awareness of in- fections caused by multi-drug resistantbacteria.

While multi-drug resistantbacteria are not new and will continue to appear, this development re- quiresmonitoring and further study to understand the extent and modes oftransmission, and to define the most effective measures for control.

Those called upon to bealert to the problem of antimicrobial resistance and take appropriate ac- tioninclude consumers. managers of hospitals, patients, as well as nationalgovernments, the pharma-ceutical(制药的 ) industry and international agencies.

WHO strongly recommends thatgovernments focus control and prevention efforts in the follow- ing areas likesurveillance for antimicrobial resistance; rational antibiotic use, includingeducation of healthcare workers and the public in the appropriate use ofantibiotics; introducing or enforcing legis-lation related to stopping theselling of antibiotics without. prescription; and strict adherence to infec-tion prevention and control measures, including the use of hand-washingmeasures, particularly in healthcare facilities.

Successful control ofmultidrug-resistant microorganisms has been documented in many countries, andthe existing and well-known infection prevention and control measures can effectivelyreduce transmission of multi-drug resistant organisms if systematicallyimplemented.

WHO will continue tosupport countries to develop relevant policies, and to coordinate interna-tional efforts to combat antimicrobial resistance. Antimicrobial resistancewill be the theme of WHO's World Health Day 2011.
